AGM Performance LLC ("AGM Performance," "AGM," "we," "us," or "our") sells automotive replacement, maintenance, performance, racing, and related products for a variety of vehicles and applications.

Automotive modification and emissions requirements may vary depending on the product, vehicle, engine, model year, configuration, jurisdiction, and intended use.

This Policy explains AGM's general requirements concerning emissions-related products, competition and off-highway products, vehicle modifications, product applications, and regulatory compliance.

1. COMPLIANCE WITH APPLICABLE LAW

AGM intends to conduct its business in compliance with applicable federal, state, and local law.

AGM does not authorize, encourage, recommend, or knowingly facilitate the unlawful removal, tampering, bypassing, defeating, disabling, or rendering inoperative of required vehicle emissions-control equipment or systems.

Nothing on AGM's Website, in a product listing, or in communications with AGM should be interpreted as authorization to install or use a product unlawfully.

2. FEDERAL EMISSIONS REQUIREMENTS

Federal law regulates tampering with required motor-vehicle emissions controls and the manufacture, sale, offer for sale, and installation of certain products that bypass, defeat, or render required emissions controls inoperative.

Depending upon the vehicle and application, emissions-related equipment and functions may include catalytic converters, diesel particulate filters, exhaust gas recirculation systems, selective catalytic reduction systems, oxygen sensors, evaporative-emissions systems, onboard diagnostic systems, emissions-related sensors, engine or powertrain calibrations, software, and other required emissions-control components or functions.

Customers, installers, manufacturers, sellers, and other parties may each have independent obligations under applicable law.

3. STREET-LEGAL AND COMPLIANT PRODUCTS

Certain aftermarket products may be lawful for use on public-road vehicles when installed and used within an applicable lawful configuration.

A product's compliance status may depend upon the exact:

  • manufacturer and part number;
  • hardware or software version;
  • vehicle;
  • engine;
  • model year;
  • drivetrain;
  • configuration;
  • calibration; and
  • application.

Customers must use products only within applications for which the product is permitted.

Approval, certification, exemption, or other compliance documentation for one product or application should not be assumed to cover another product, vehicle, or configuration.

4. EMISSIONS COMPLIANCE INFORMATION

AGM may rely upon compliance information and documentation provided or published by product manufacturers, regulatory authorities, certification programs, and other sources AGM reasonably considers appropriate.

Depending upon the product, such information may include:

  • federal emissions compliance information;
  • recognized emissions testing or certification;
  • California Air Resources Board Executive Order information;
  • manufacturer application information;
  • replacement-part information;
  • testing documentation;
  • vehicle application restrictions; or
  • other compliance documentation.

AGM may request, review, retain, or rely upon available compliance information when determining whether to offer, restrict, ship, or install a product.

5. STATE-SPECIFIC REQUIREMENTS

Federal compliance does not necessarily resolve every state or local requirement.

Certain states or jurisdictions may impose additional emissions, inspection, registration, equipment, or vehicle-modification requirements.

Accordingly, a product that may be lawful for a particular application in one jurisdiction may be restricted for another application or jurisdiction.

AGM reserves the right to restrict or refuse sales, shipments, installations, programming, or other services based upon applicable state or local requirements.

6. COMPETITION, RACING, AND OFF-HIGHWAY PRODUCTS

Some automotive products are legitimately intended or restricted for competition, racing, off-highway, or other specialized applications.

Designations such as:

"Race Use Only," "Competition Use Only," "Off-Road Use Only," "Not for Highway Use,"

or similar terminology describe the intended or restricted application of a product.

Such a designation does not, by itself, override federal, state, or local law or make an otherwise prohibited transaction or use lawful.

Customers purchasing products legitimately restricted to competition, racing, off-highway, or similar applications must use those products only in applications and circumstances permitted by applicable law.

7. CUSTOMER RESPONSIBILITY

Before purchasing, installing, programming, calibrating, or using an automotive performance product, customers are responsible for reasonably determining whether the product is appropriate and lawful for their particular:

  • vehicle;
  • engine;
  • model year;
  • configuration;
  • jurisdiction;
  • intended application; and
  • manner of use.

Customers are responsible for complying with applicable requirements concerning vehicle equipment, emissions, inspections, registration, operation, competition use, and public-road use.

Customer responsibility does not transfer to the customer any statutory obligation that applicable law independently imposes upon AGM.

8. PRODUCT AVAILABILITY DOES NOT MEAN UNIVERSAL LEGALITY

The fact that a product appears on AGM's Website or is otherwise available for purchase does not constitute a representation that the product is lawful for every vehicle, application, configuration, or jurisdiction.

Many automotive products have application-specific restrictions.

A product may be compliant for one vehicle, model year, engine, calibration, or configuration while being restricted for another.

Customers should review available product information and applicable restrictions before purchase.

9. PRODUCT INFORMATION

AGM makes reasonable efforts to provide accurate product and application information.

AGM may rely upon information provided or published by manufacturers and other sources reasonably believed to be reliable, including:

  • product descriptions;
  • vehicle applications;
  • fitment information;
  • part numbers;
  • technical specifications;
  • emissions information;
  • certifications;
  • approvals;
  • exemptions;
  • testing information; and
  • application restrictions.

Manufacturers and regulatory authorities may revise product information, applications, certifications, software, calibrations, or compliance documentation.

AGM reserves the right to correct information, update listings, restrict products, suspend sales, or cancel affected unfulfilled orders when AGM becomes aware of a material compliance or product-information issue.

10. NO DISCLAIMER-BASED EXEMPTION

A customer cannot make an otherwise unlawful transaction, installation, or vehicle modification lawful merely by:

  • selecting an off-road option;
  • signing a waiver;
  • checking an acknowledgment box;
  • stating that a vehicle is used for racing;
  • agreeing to accept legal responsibility; or
  • otherwise characterizing the intended use.

Applicable law and the actual product, vehicle, configuration, transaction, and use determine legal requirements.

11. CUSTOMER REPRESENTATIONS

When purchasing a product expressly restricted to competition, racing, off-highway, or another specialized lawful application, the customer represents that the product will be used only in applications and circumstances permitted by applicable law.

Customers must not intentionally provide AGM with materially false information concerning:

  • vehicle information;
  • intended application;
  • intended use;
  • shipping destination;
  • regulatory status; or
  • other information requested for compliance purposes.

12. AGM'S RIGHT TO REFUSE OR CANCEL ORDERS

AGM reserves the right to refuse, hold, restrict, or cancel an order when AGM reasonably determines that doing so is appropriate because of:

  • federal, state, or local law;
  • emissions requirements;
  • vehicle or application restrictions;
  • manufacturer restrictions;
  • shipping restrictions;
  • insufficient or conflicting compliance information;
  • the customer's stated intended use;
  • materially inaccurate customer information;
  • suspected circumvention of a compliance restriction; or
  • another legitimate legal or regulatory concern.

AGM may request additional vehicle or application information before fulfilling certain orders.

If AGM cancels paid merchandise before fulfillment, AGM will provide any refund required by applicable law.

13. NO CIRCUMVENTION OF RESTRICTIONS

Customers may not attempt to circumvent AGM's sales, shipping, installation, or compliance restrictions through false information, alternate accounts, third-party purchasers, alternate shipping arrangements, freight forwarding, reshipping arrangements, or other deceptive means.

AGM may refuse or cancel transactions where AGM reasonably suspects circumvention of a legal or compliance restriction.

14. INSTALLATION SERVICES

AGM may refuse to install, program, calibrate, configure, modify, or service a product or vehicle when AGM reasonably determines that the requested work would violate applicable law or AGM's compliance requirements.

Ownership of a product does not obligate AGM to install it.

Purchase of a product from AGM does not guarantee that AGM will perform every requested installation or modification.

AGM may require vehicle information, product information, compliance documentation, or other information before agreeing to perform certain work.

15. TUNING, SOFTWARE, AND ELECTRONIC CALIBRATION

Tuning, programming, and electronic calibration may affect vehicle performance, diagnostics, emissions controls, and regulatory compliance.

Products, software, or calibrations purchased from AGM must not be used to unlawfully disable, bypass, defeat, or render inoperative required emissions-control functions.

Where a tuning product, software product, or calibration is permitted only within a particular compliant configuration, customers are responsible for maintaining the applicable configuration.

Changes to software, firmware, calibration, hardware, or vehicle configuration may affect the product's compliance status.

16. CUSTOMER MODIFICATION AFTER PURCHASE

Customers must not subsequently alter, modify, combine, reprogram, or use a product in an unlawful configuration.

AGM is not responsible for a customer's independent unlawful alteration, modification, reprogramming, misuse, or combination of a lawfully sold product with other components in a manner that causes the resulting vehicle or configuration to violate applicable law, except to the extent applicable law provides otherwise.

17. INSPECTION AND REGISTRATION

AGM does not guarantee that a modified vehicle will:

  • pass an emissions inspection;
  • pass a safety inspection;
  • qualify for registration;
  • satisfy every state or local equipment requirement;
  • satisfy a motorsports organization's requirements; or
  • remain eligible for a particular vehicle classification.

Inspection and registration requirements may differ from other emissions requirements.

Customers are responsible for determining requirements applicable to their vehicle and jurisdiction.

18. VEHICLE MANUFACTURER WARRANTIES

Aftermarket vehicle modifications may affect vehicle-manufacturer warranty claims depending upon the modification, alleged failure, warranty terms, and applicable law.

AGM does not control or guarantee whether a dealership or vehicle manufacturer will approve a particular warranty claim involving a modified vehicle.

Customers concerned about maintaining factory warranty coverage should review the applicable vehicle warranty before modification.

19. PRODUCT REMOVAL AND RESTRICTIONS

AGM may remove, suspend, restrict, or discontinue a product when reasonably appropriate for legal, regulatory, safety, manufacturer, or compliance reasons.

AGM may also:

  • request additional compliance information;
  • restrict particular vehicle applications;
  • restrict destinations;
  • temporarily hold orders;
  • update product information;
  • cancel unfulfilled transactions; or
  • take other reasonably appropriate compliance measures.

Removal or restriction of a product does not, by itself, establish that a previous transaction involving that product was unlawful.

20. CHANGES IN LAW OR COMPLIANCE STATUS

Automotive laws, regulations, regulatory interpretations, certification programs, manufacturer documentation, and compliance requirements may change.

AGM does not guarantee that a product's current legal or regulatory treatment will remain unchanged indefinitely.

AGM may modify product availability, applications, shipping restrictions, installation practices, or other compliance procedures in response to changes in applicable requirements or available compliance information.

21. RECALLS, STOP-SALE NOTICES, AND REGULATORY ACTIONS

If AGM receives or becomes aware of a material manufacturer recall, stop-sale notice, safety notice, compliance notice, or regulatory restriction concerning a product, AGM may take appropriate action.

Depending upon the circumstances, AGM may:

  • stop offering the product;
  • suspend pending orders;
  • cancel unfulfilled orders;
  • contact affected customers where reasonably possible;
  • provide manufacturer instructions; or
  • take other action required or reasonably appropriate under the circumstances.

Recall or regulatory remedies will be handled in accordance with applicable law and applicable manufacturer requirements.

22. MOTORSPORTS AND PERFORMANCE RISKS

Vehicle modification and motorsports involve inherent risks.

Performance modifications may alter horsepower, torque, acceleration, traction, handling, braking requirements, engine load, drivetrain load, component temperatures, fuel requirements, noise, reliability, emissions characteristics, and component service life.

Customers are responsible for appropriate installation, operation, inspection, and maintenance of modified vehicles.

A product's emissions compliance does not constitute a representation that the product is appropriate or safe for every vehicle or operating condition.

23. WARRANTIES AND RETURNS

Regulatory or application restrictions do not automatically create a warranty claim or standard return right.

Warranty matters are governed by AGM's Warranty Information & Warranty Claims Policy and applicable manufacturer warranty terms.

Returns and exchanges are governed by AGM's Refunds, Returns & Exchanges Policy.

Nothing in this Policy eliminates a refund, recall remedy, warranty right, or other remedy required by applicable law.

24. CUSTOMER MISUSE

To the fullest extent permitted by applicable law and subject to AGM's Terms & Conditions, customers may be responsible for losses, claims, damages, penalties, or expenses resulting from their intentional unlawful use, fraudulent representations, deliberate circumvention of compliance restrictions, or unlawful modification of products purchased from AGM.

This provision does not transfer to a customer a statutory obligation independently imposed upon AGM and does not require a customer to indemnify AGM for AGM's own conduct where prohibited by applicable law.

25. NO TRANSFER OF AGM'S LEGAL RESPONSIBILITIES

Nothing in this Policy is intended to transfer AGM's independent legal obligations to the customer.

Customer acknowledgments, representations, waivers, intended-use statements, or contractual obligations do not excuse AGM from complying with laws independently applicable to AGM.

26. NONWAIVABLE RIGHTS AND REQUIREMENTS

Nothing in this Policy is intended to:

  • authorize unlawful conduct;
  • make an otherwise prohibited product or transaction lawful;
  • waive a regulatory requirement;
  • eliminate liability that cannot legally be excluded;
  • eliminate a consumer right that cannot legally be waived; or
  • prevent a customer from exercising rights available under applicable law.

Applicable mandatory law controls to the extent it conflicts with this Policy.

27. RELATIONSHIP TO OTHER AGM POLICIES

This Policy supplements AGM's:

Those policies should be read together where applicable.

28. POLICY UPDATES

AGM may revise this Policy to reflect changes in law, regulatory requirements, manufacturer information, product offerings, or AGM's compliance procedures.

The "Last Updated" date identifies the current version.
